The developer of a new chemical process entered into a joint venture with a large
engineering firm. After a period of joint operations, the developer realized that the
engineering firm had expanded its credentials and "stolen" the technology from the developer.
The developer had failed to identify the unique and proprietary aspects of its process
and had inadequately addressed safeguarding its proprietary information. There was no
