Open Season Case of Good Intentions with Bad Results
|
| |
The developer of a new chemical process entered into a joint venture with a large
engineering firm. After a period of joint operations, the developer realized that the
engineering firm had expanded its credentials and "stolen" the technology from the developer.
The developer had failed to identify the unique and proprietary aspects of its process
and had inadequately addressed safeguarding its proprietary information. There was no
policy for identifying the assets requiring protection nor procedures for employees to
determine which information was to be treated as proprietary material. The lack of
policies and procedures resulted in the developer losing both profits and the ability
to take legal action against its partner. Our professionals supplied a baseline policy
and implementation plan to protect the value of future unique developments.
